Abuja Electricity Distribution Plc (AEDC) has announced its transition into a Holding Company (HOLDCO) structure as part of efforts to align with Nigeria’s decentralised electricity regulatory framework.
The company said the restructuring followed the Electricity Act 2023, which allows state governments to establish independent electricity markets and regulatory commissions.
In a statement signed by the Managing Director/CEO of AEDC, Engr. Chijioke Okwuokenye, the company described the move as strategic and forward-looking.
According to AEDC, the new structure will enhance operational agility, improve corporate governance and support efficient service delivery across its franchise areas.
As part of the restructuring, AEDC incorporated two subsidiary distribution companies — Niger Electricity Distribution Company and Kogi Electricity Distribution Company.
The subsidiaries will operate under their respective state regulators, the Niger State Electricity Regulatory Commission and the Kogi State Electricity Regulatory Commission.
However, AEDC noted that both entities would remain part of the AEDC Group and operate within a unified corporate framework.
To lead the subsidiaries, AEDC appointed Engr. Sam Odekina as Chief Business Officer and Acting Managing Director of Niger Electricity Distribution Company.
Mr. Desmond Eboh was also appointed Chief Business Officer and Acting Managing Director of Kogi Electricity Distribution Company.
The company further disclosed that preparations are ongoing for the commencement of operations in Nasarawa State under the new regulatory arrangement.
Okwuokenye said the HOLDCO structure enables AEDC to meet state-specific regulatory expectations while maintaining group-wide operational standards.
“The Holdco structure aligns perfectly with our goal to enhance operational efficiency and adapt to Nigeria’s evolving energy landscape,” he said.
He added that uniform Conditions of Service would apply across the parent company and its subsidiaries to ensure workforce stability.
AEDC reaffirmed its commitment to supporting sustainable electricity markets and improving customer experience across its operations.
The company currently serves the Federal Capital Territory and parts of Niger, Kogi and Nasarawa States
